1. Agreement to These Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Ascension Media Group Inc. ("AMGI," "we," "us," or "our"), the operator of the All24 platform accessible at all24.ca ("the Platform").

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Platform.

If you are registering on behalf of a team or organization, you represent that you have authority to bind that organization to these Terms.

2. About the Platform

All24 is a closed, team-scoped Canadian football coaching platform operated by a Canadian company. User account data is hosted on Canadian infrastructure. The Platform provides tools for film review, playbook creation, team communication, and coaching development, designed to be accessible to high school and youth football programs across Canada.

All24 is not a social media platform. There are no public profiles, no advertising, no cross-team visibility of user account information, and no open forums. Each team operates within a closed environment for user data — personal account information, viewing and engagement data, chat and messaging, and roster details — which remain private to the Team and its Authorized Users.

Film and other coaching content ("Team Content") is owned by the respective Teams. AMGI hosts Team Content on the Team's behalf for the purpose of delivering the Platform's features. AMGI does not share Team Content with any other team, organization, or third party. If Team Content is shared — for example, through coach-initiated exchange with an opposing team, or through opt-in participation in League or Film Pool programs — that sharing is an action of the Team's coaches or administrators acting on behalf of the Team. AMGI provides the tools; the Team decides whether and how to use them.

3. Eligibility and Account Registration

3.1 Age Requirement

The Platform is intended for users aged 13 and older. By registering, you confirm that you are at least 13 years of age. We do not knowingly collect personal information from users under 13. Teams with players under 13 must use parent or guardian accounts on behalf of those players.

If you are between 13 and 17 years of age, you confirm at registration that you have your parent or guardian's permission to use the Platform.

3.2 Account Types

All24 supports two primary account roles:

Authorized Users join a Team by self-registering with a Team-issued invite or join code. Registration without a valid join code is not permitted. The Team Administrator and coaches are responsible for issuing, managing, and revoking team join codes, and for approving each registration request before access is granted. AMGI does not pre-approve individual users; access to a Team's environment is controlled by the Team's coaches and administrators.

3.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@all24.ca if you suspect unauthorized access to your account. AMGI is not liable for any loss resulting from unauthorized use of your account.

You agree to provide accurate and current information when registering and to keep your account information up to date.

3.4 Attestations at Registration

At registration, you will be asked to make several attestations, including confirmation of your age, parental or guardian permission (if you are a minor), and acceptance of these Terms and the Privacy Policy. AMGI retains a record of each attestation, including the date, time, the version of the legal text in effect at that time, and the device address from which the attestation was made.

You may view your attestation history and download a record of your account information, attestations, and the agreements you accepted at any time through your account settings.

4. Team Administrator Responsibilities

Each registered team must designate at least one Team Administrator. The Team Administrator is the primary accountable contact between the team and AMGI. Team Administrators are responsible for:

Teams are responsible for the conduct of all users registered under their account. AMGI assumes that users approved into a Team have been authorized and appropriately consented by the Team Administrator or approving coach.

5. Acceptable Use

5.1 Permitted Use

All24 is licensed to you for lawful use in connection with Canadian football coaching, player development, and team management. You may use the Platform to upload and review game and practice film, create and share playbooks, communicate with your team, and access coaching resources.

You agree not to use the Platform to:

All content uploaded to or shared through the Platform, including film, playbook content, chat messages, and profile information, must comply with these Terms. Content that violates these standards may be removed and the responsible account may be subject to suspension.

The Platform includes a basic profanity filter in chat. The existence of this filter does not transfer responsibility for conduct from the team to AMGI. Teams remain fully responsible for all user conduct.

6. Conduct Reporting and Enforcement

All24 takes user safety seriously, particularly given that the Platform may be used by players under the age of 18. We have established the following conduct management process:

The Team Administrator and coaches are presumed to know the ages of players on their team based on the league, division, or program structure in which the Team competes. By approving a user's request to join the Team, the approving coach or Team Administrator warrants that, to their knowledge, the user meets the minimum age requirement of 13 years and that any required parental or guardian consents have been obtained. If a coach has reason to believe a user is under 13 or that consent has not been obtained, the coach must not approve the join request and should report the registration to support@all24.ca. AMGI may suspend or remove the Team's account in cases where coaches knowingly approve registrations that violate these requirements.

All24 is not a publisher of user-generated content. We are a platform provider. We are not responsible for content created by users but we will take good-faith action when conduct is reported. Teams and their administrators are the primary accountable parties for the conduct of their users.

AMGI reserves the right to take immediate action, including account suspension, where conduct poses a serious risk to any user's safety or wellbeing, regardless of escalation thresholds.

7. Intellectual Property

7.1 Team Content Ownership

The Team retains full ownership of all content uploaded to or created within the Platform by its coaches, administrators, and authorized staff, including game film, practice video, playbook designs, and related materials ("Team Content"). Team Content is owned by the respective Teams, not by individual players or other Authorized Users. Only coaches and Team Administrators may upload, edit, annotate, or share Team Content.

By uploading Team Content, the Team grants AMGI a limited, non-exclusive licence to store, transmit, transcode, process, analyze, and display that content solely for the purpose of delivering and improving the Platform's features for the Team and its Authorized Users. AMGI does not claim any ownership of Team Content. AMGI does not sell Team Content, does not use it for advertising, and does not share it with other teams or third parties; any such sharing is initiated by the Team's coaches or administrators. Upon account deletion or expiry of the retention period, Team Content is permanently deleted.

7.2 Platform Intellectual Property

All aspects of the All24 platform, including its design, features, codebase, branding, and proprietary tools, are the intellectual property of Ascension Media Group Inc. and are protected under applicable Canadian intellectual property law. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited licence to use it as described herein.

You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without express written permission from AMGI.

7.3 Automated Analysis and Product Improvement

The Platform includes, and will increasingly include, features that automatically process Team Content to assist coaching — for example, film breakdown, play and player tagging, statistics, and analytics ("Automated Analysis"). The limited licence in Section 7.1 includes the right for AMGI to process Team Content in order to provide and improve these features.

AMGI does not currently use Team Content to train artificial-intelligence or machine-learning models. AMGI may do so in the future, solely to develop and improve the Platform's own features, and only on the following terms, which AMGI commits to uphold:

AMGI will update this Section and notify Teams in accordance with Section 15 before it materially changes how Team Content is used to train models.

7.4 Feedback

Any feedback, suggestions, feature requests, or ideas you provide about the Platform are not confidential, and AMGI may use them for any purpose without restriction, attribution, or compensation to you.

8. Copyright Complaints and Repeat Infringers

AMGI respects the intellectual property rights of others and requires users of the Platform to do the same. Team Content must not infringe the copyright or other rights of any third party, as set out in Section 5.2.

8.1 Reporting Alleged Infringement

If you are a rights holder, or are authorized to act on behalf of one, and you believe that content hosted on the Platform infringes your copyright, you may send a written notice to AMGI's designated copyright agent:

To be actionable, your notice should include: (a) your name, address, and contact information; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material you claim is infringing, with information reasonably sufficient to allow AMGI to locate it within the Platform; and (d) a statement of the claimed infringement, consistent with section 41.25 of the Copyright Act (Canada).

8.2 How AMGI Responds

Consistent with Canada's Notice-and-Notice regime (sections 41.25 to 41.27 of the Copyright Act), upon receiving a compliant notice AMGI will forward it electronically to the user responsible for the identified content and will retain records as required by law. Because the Platform is a private, team-scoped environment, AMGI may also, in its discretion, remove or disable access to content that it reasonably believes infringes a third party's rights or violates these Terms.

8.3 Disputed Removals

If you believe content associated with your account was removed or disabled because of a mistake or misidentification, you may contact AMGI at legal@all24.ca with an explanation. AMGI will review the matter in good faith.

8.4 Repeat Infringers

AMGI maintains a policy of suspending or terminating, in appropriate circumstances, the accounts of users — and the access of Teams — who repeatedly infringe, or are repeatedly and credibly alleged to infringe, the intellectual property rights of others.

9. Payment and Subscription Terms

9.1 Fees

Access to certain features of All24 requires a paid subscription. All fees are quoted and charged in Canadian dollars (CAD) and are subject to applicable taxes, including Harmonized Sales Tax (HST) where applicable.

Current pricing is available at all24.ca. AMGI reserves the right to adjust pricing with at least 30 days' notice to existing subscribers.

9.2 Billing and Payment

AMGI issues annual invoices to the Team for the applicable subscription fees. Invoices are payable through Stripe, a third-party payment processor. AMGI does not store or handle payment card information directly. Subscription billing information — including billing name and billing address required for tax compliance — is collected and processed directly by Stripe under its own privacy practices. AMGI does not store payment card data or billing addresses. The Team is responsible for paying each invoice by the due date specified on the invoice.

AMGI does not initiate recurring charges against the Team's payment method. Each annual invoice must be actively paid by the Team to maintain access to paid features.

9.3 Subscription Renewal

Subscriptions are billed on an annual basis. Approximately 30 days before the end of each Subscription Period, AMGI will issue a renewal invoice for the next period. The Team may pay the invoice to continue access or decline to pay to end the subscription. There is no automatic renewal charge; continued access is contingent on payment of the renewal invoice.

If the Team does not wish to renew, no action is required other than declining to pay the invoice. Access to paid features will end at the conclusion of the current Subscription Period if the renewal invoice remains unpaid.

9.4 Refunds

All subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact support@all24.ca within 30 days of the charge.

9.5 Non-Payment and Account Suspension

If a subscription payment fails or is not received, AMGI will make reasonable efforts to notify the Team. If payment is not resolved within a reasonable period, access to paid features may be suspended. All team data, including uploaded film, will be retained for 12 months following suspension to allow for account reinstatement. Teams may request earlier deletion of their data by contacting support@all24.ca. After 12 months, all data associated with the suspended account is permanently deleted.

9.6 Founding Partner and Promotional Rates

Teams admitted under a founding partner, development partner, or promotional pricing arrangement are subject to the specific terms communicated at the time of that arrangement. Where not otherwise specified, these Terms apply in full.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting support@all24.ca or using the account deletion feature within the Platform. Account deletion is subject to a 30-day grace period during which you may log back in to cancel deletion. After the grace period, your account and personal information will be permanently deleted in accordance with our Privacy Policy.

10.2 Termination by AMGI

AMGI may suspend or terminate your access to the Platform with written notice if:

In cases of serious conduct violations, AMGI reserves the right to suspend access immediately without prior notice.

Termination does not entitle you to a refund of any prepaid fees except where required by law.

10.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, limitation of liability, indemnification, and governing law — will survive.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AMGI does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or usefulness of any content available through the Platform, including the output of Automated Analysis features, which is provided to assist — not replace — coaching judgment.

The free and trial tiers of the Platform, including the playbook editor, are provided without warranty of any kind.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMGI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL AMGI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE TOTAL FEES PAID BY YOU TO AMGI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, AMGI's liability will be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless AMGI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your use of the Platform is also governed by our Privacy Policy, available at all24.ca/privacy. The Privacy Policy is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your personal information as described in the Privacy Policy.

You may view a record of your accepted agreements, the date and time of each acceptance, and the version of the legal text in effect at the time of acceptance, through your account settings. Team Administrators and coaches may view a limited record of attestations made by Authorized Users registered under their Team, for the purpose of compliance verification.

15. Modifications to the Platform and Terms

AMGI reserves the right to modify, suspend, or discontinue any part of the Platform at any time. We will make reasonable efforts to notify users of significant changes through the Platform.

We may update these Terms from time to time. Material changes will be communicated to users by email or through the All24 platform at least 30 days before taking effect, and the effective date and version number will be revised accordingly. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms. Prior versions of these Terms remain in effect for users who attested to those versions until they accept an updated version.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or related to these Terms or the Platform that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of the Province of Ontario. You agree to submit to the personal jurisdiction of those courts.

Before initiating any formal proceeding, you agree to contact AMGI at legal@all24.ca to attempt to resolve the dispute informally. AMGI will make good-faith efforts to resolve any concern within 30 days of receiving written notice.

17. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and, for Teams, the Team Agreement, constitute the entire agreement between you and AMGI with respect to your use of the Platform and supersede all prior agreements or understandings.

Order of Precedence: These Terms, the Privacy Policy, and the Team Agreement are intended to be read together. If there is a direct conflict between them, the following order of precedence applies, from highest to lowest: (1) any separately signed institutional agreement or Data Processing Agreement between AMGI and a Team or organization; (2) the Team Agreement, for matters concerning a Team's account; (3) these Terms; and (4) the Privacy Policy — provided that the Privacy Policy always governs questions concerning the handling of personal information.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: AMGI's failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in the future.

Assignment: You may not assign your rights or obligations under these Terms without AMGI's prior written consent. AMGI may assign its rights and obligations without restriction.

Force Majeure: AMGI will not be liable for any delay or failure to perform, or for any unavailability of the Platform, resulting from causes beyond its reasonable control, including failures of hosting, infrastructure, or telecommunications providers, internet disruptions, power failures, acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labour disputes, or governmental action.

Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version governs.
